3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information required for consultancy
- Ensuring any shared data is authorized for use
- Implementing RMCS recommendations at their own discretion and risk
4. Fees and Payments
- Consultancy fees will be mutually agreed upon before the commencement of services.
- Payment terms, including due dates and accepted modes of payment, will be specified in the service agreement or invoice.
- Late payments may incur interest or service suspension.
5. Intellectual Property
- All reports, drawings, designs, and other intellectual property created by RMCS remain the property of RMCS unless explicitly transferred in writing.
- Clients are granted a non-transferable, non-exclusive right to use such materials for internal purposes only.
6. Confidentiality
- RMCS respects client confidentiality. Any business or technical information shared will be treated as confidential and not disclosed to third parties without prior written consent, except as required by law.
7. Limitation of Liability
- RMCS provides professional advice based on industry experience and available data.
- RMCS shall not be liable for any indirect, incidental, or consequential damages arising from the use or misuse of our recommendations or services.
- Clients are responsible for evaluating and implementing any advice provided.
8. Termination
- Either party may terminate a consultancy engagement with written notice, subject to any contractual obligations.
- Upon termination, any unpaid dues must be settled, and intellectual property rights remain with RMCS.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India, with jurisdiction in the courts of Kolkata, West Bengal.
10. Changes to Terms
RMCS reserves the right to modify these Terms and Conditions at any time. Updates will be published on our website, and continued use of our services constitutes acceptance of the revised terms.
